    Job Title: M&A Due Diligence (Contractor)

    Company: Big Four Client

    Location: Remote (After 2-4 week onsite training)

    Work Authorization: U.S. Citizen or Green Card Holder

    Pay Rate: $80-$90 per hour (W2), depending on experience

    Duration: 6+ Months


    Overview:

    As a M&A Modeling/Due Diligence Contractor, you will play a key role in supporting M&A teams with technical accounting research, financial analysis, and deal execution activities. You’ll collaborate virtually with cross-functional teams on a broad spectrum of merger and acquisition engagements, addressing complex accounting matters such as business combinations, consolidations, revenue recognition, leasing, and financial instruments. This role provides the opportunity to apply your accounting and analytical expertise across multiple industries while delivering high-quality client service—without the demands of travel, business development, or client management.


    Key Responsibilities:

    1. Research and analyze accounting issues related to business combinations, consolidations, revenue recognition, leasing, and financial instruments.
    2. Identify and evaluate business, industry, and financial risks, including potential deal breakers and transaction-specific risks or opportunities.
    3. Assess targets’ historical and projected earnings, discounted cash flows (DCF), contingencies, commitments, and quality of assets.
    4. Prepare concise, well-structured written deliverables summarizing deal issues and findings for client review.
    5. Collaborate virtually with M&A teams to execute due diligence engagements and deliver timely, accurate insights.



    Requirement Skills & Qualifications:

    1. Bachelor’s Degree in Accounting, Finance, or related field.
    2. Minimum of 1 year of experience in financial due diligence.
    3. Minimum of 4 years of Experience in Public Accounting (Audit, Accounting Advisory or TAS)
    4. QofE, DCF, Modeling exp
    5. CPA
    6. Prior audit experience with a PCAOB-registered public accounting firm.
